Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Syntherly websites and online services, including syntherly.com and advisory.syntherly.com (the “Site”). By using the Site you agree to these Terms. If you engage our services, the separate Master Services Agreement and statement of work govern that engagement and control over these Terms in case of conflict.

1. The Site and the Services Agreement

This Site describes Syntherly Advisory’s AI advisory, implementation, and enablement services and lets you learn about, evaluate, and engage them. Your use of the Site is governed by these Terms. Your use of the paid Services is governed by the Master Services Agreement and statement of work you sign, which control over these Terms for that engagement.

2. Eligibility and Accounts

You must be able to form a binding contract to use the Site. If you create an account or submit information, you agree to provide accurate details and to keep your credentials secure. You are responsible for activity under your account.

3. Engagements, Pricing, and Payment

Scope and fees for any engagement are set out in the statement of work you sign; the Site itself does not publish pricing. Nothing on the Site is a binding offer until both parties sign a statement of work. Any third-party tools, models, or platforms you choose to run are billed to you by those providers directly.

4. The Assessment; No Professional Advice by the Site

The Site is informational. Nothing on it, and no general guidance shared before a signed engagement, constitutes professional, legal, financial, or technical advice you should rely on without your own review. The opportunity assessment and any deliverables are governed by your engagement terms. Do not submit sensitive information through the Site except where expressly required.

5. Deliverables and Ownership

Subject to payment, the roadmap and other deliverables produced for you in an engagement are yours to use as set out in your statement of work. Pre-existing methods, frameworks, and tools we bring to the engagement remain ours. The specific ownership and license terms are set out in your Master Services Agreement and statement of work.

6. Acceptable Use

You agree not to misuse the Site: no unlawful, infringing, or harmful activity; no scraping, reverse engineering, or interference with the Site’s operation or security; and no use of automated systems to overload or probe the Site.

7. Intellectual Property

The Site and its content are owned by Syntherly or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive license to view the Site for evaluating and purchasing the Services. All other rights are reserved.

8. Third-Party Services and Links

The Site may link to or rely on third-party services. We are not responsible for third-party content or practices, which are governed by their own terms.

9. Privacy

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms.

10. Disclaimers and Limitation of Liability

The Site is provided “as is” without warranties of any kind to the fullest extent permitted by law. To the extent permitted by law, Syntherly is not liable for indirect, incidental, or consequential damages arising from your use of the Site. Nothing here limits liability that cannot be limited by law, and the Master Services Agreement governs liability for paid engagements.

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Disputes are subject to the dispute-resolution terms of your Master Services Agreement where one exists.

12. Changes and Contact

We may update these Terms; the “Last updated” date shows when. Continued use after a change means you accept it. Questions: legal@syntherly.com.
